1. Introduction and Definitions

This End-User License Agreement ("EULA") is a legal agreement between CIXIO TECHNOLOGIES PRIVATE LIMITED, an Indian private limited company incorporated under the Companies Act, 2013, bearing (referred to herein as "Cixio," "We," "Us," or "Our"), and You (the individual or legal entity, the "Licensee" or "You") who is using the Software, Services, or Platforms provided by Cixio.

BY CLICKING "I AGREE," INSTALLING, COPYING, ACCESSING, OR OTHERWISE USING THE SOFTWARE, SERVICES, OR PLATFORMS, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. If you do not agree, you must not proceed and must immediately cease all use.

Definitions

  • "Software" or "Service(s)": Refers collectively to all Cixio proprietary software, applications, APIs, digital content, AI models, development tools, and platforms, including any updates, documentation, or related materials.
  • "Website(s)" or "Platform(s)": Refers collectively to all Cixio websites, applications, and digital platforms, including but not limited to www.cixio.com, www.cixio.io, www.cixio.ai, www.cixio.in, www.cixio.dev, and any related domains, subdomains, mobile applications, or other online properties now or hereafter owned or operated by Cixio.
  • "User Content" (or "Inputs"): Data, text, images, code, files, or any other material uploaded, transmitted, or submitted by You to the Service.
  • "Outputs": The data, results, or content generated by the Service in response to User Content (e.g., AI-generated text or code).

2. License Grant

2.1 Grant of Limited License

Subject to your compliance with this EULA and any applicable payment terms, Cixio grants You a personal, non-exclusive, non-transferable, non-sublicensable, and limited right to install and use the Software and Service solely for your internal business operations or personal use (as permitted by your subscription/license tier) and in accordance with the official documentation.

2.2 License Scope

The License permits You to:

  • Access and use the Service via the authorized Website(s) or APIs.
  • Install the Software on a device(s) owned or controlled by You, consistent with the specific license purchased.
  • Use the Software and Service only in the manner for which they were designed.

3. License Restrictions and Acceptable Use

You agree not to, and will not permit others to:

  1. Reverse Engineer: Reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying structure of the Software or Service, except where such activity is expressly permitted by mandatory applicable law.
  2. Reproduction & Distribution: Copy, modify, translate, adapt, or create derivative works of the Software or Service.
  3. Commercial Exploitation: Rent, lease, lend, sell, sublicense, distribute, publish, or otherwise commercially exploit the Software or Service, or any Outputs (unless explicitly permitted by a separate commercial agreement).
  4. Competitive Use: Use the Software or Service to develop a competing product or service, or for the purpose of benchmarking or analyzing its performance.
  5. Security Interference: Circumvent, disable, or otherwise interfere with any security-related features, license key mechanisms, or usage tracking technology within the Software or Service.
  6. Unlawful Use: Use the Service to violate any local, state, national, or international law, including data privacy laws, or to generate content that is harassing, defamatory, illegal, or infringes upon any third-party intellectual property rights.
  7. Harmful Use (AI Specific): Use any AI-powered features to generate or disseminate misinformation, promote hate speech, or engage in automated abuse.

4. Intellectual Property, Ownership, and AI Clauses

4.1 Cixio's Ownership

You acknowledge that the Software and Service are licensed, not sold. Cixio retains all right, title, and interest in and to the Software, Service, Website(s), and all associated Intellectual Property Rights (including all patents, copyrights, trademarks, trade secrets, and underlying algorithms).

4.2 Ownership of User Content (Inputs)

You retain all ownership of your User Content (Inputs). You grant Cixio a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and store your User Content solely for the purpose of operating, maintaining, improving, and developing the Service, which includes using the data for AI model training (unless you have explicitly opted out of such use via an available Service setting).

4.3 Ownership of Outputs

Subject to this EULA and your payment obligations, and excluding any third-party materials, Cixio assigns to You all rights, titles, and interests in and to the Outputs generated by the Service specifically in response to your Inputs.

  • Disclaimer: You acknowledge that Outputs may not be unique, and other users may generate the same or similar Outputs. Cixio makes no warranty regarding the non-infringement or uniqueness of the Outputs, and you are solely responsible for ensuring the Outputs comply with applicable law and do not infringe on third-party rights before public use.

5. Privacy, Data Protection, and Confidentiality

Your use of the Software and Service is governed by Cixio's Privacy Policy (available on the Website), which is incorporated herein by reference.

  • You agree that Cixio may collect, maintain, process, and use technical data and related information (including device, system, and application software information) to facilitate software updates, product support, and other services related to the Software.

6. Updates, Maintenance, and Third-Party Services

Cixio reserves the right to implement automatic updates, upgrades, and modifications to the Software or Service at any time. Cixio is under no obligation to provide maintenance, technical support, or bug fixes, unless explicitly agreed upon under a separate Service Level Agreement (SLA).

The Software or Service may utilize or include third-party software or services. Your use of such third-party components is governed by their respective terms.

7. Termination

7.1 Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically and without notice if you fail to comply with any term of this EULA. Cixio may also terminate this EULA for any reason upon 30 days' notice to you.

7.2 Effect of Termination

Upon termination:

  • The License granted to you will immediately cease.
  • You must immediately stop all use of the Software and Service and delete all copies of the Software and related documentation in your possession or control.
  • Sections 4 (Intellectual Property), 7.2 (Effect of Termination), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), and 10 (Governing Law) shall survive termination.

8. Disclaimer of Warranties

THE SOFTWARE AND SERVICE ARE PROVIDED TO YOU "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND DEFECTS, AND WITHOUT WARRANTY OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, CIXIO EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

CIXIO DOES NOT WARRANT THAT THE SOFTWARE OR SERVICE WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY INTENDED RESULTS (ESPECIALLY AI OUTPUTS), OR BE ERROR-FREE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CIXIO OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION).

CIXIO'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL DAMAGES, REGARDLESS OF THE FORM OF ACTION, SHALL IN NO EVENT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO CIXIO FOR THE SOFTWARE OR SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

10. Governing Law and Dispute Resolution

This EULA shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles.

Any dispute, claim, or controversy arising out of or relating to this EULA shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.

11. Miscellaneous

  • Entire Agreement: This EULA constitutes the entire agreement between you and Cixio regarding the use of the Software and Service.
  • Waiver: Cixio's failure to enforce any right or provision of this EULA will not constitute a waiver of such right or provision.
